Squeeze-Out at Aesculap AG

Loschelder Rechtsanwälte has advised B. Braun Melsungen AG in relation to the squeeze-out of the minority shareholders of Aesculap AG, Tuttlingen.

The shareholders' meeting of Aesculap AG took place on 10th December 2009. The squeeze-out resolution was subsequently challenged in court by minority shareholders. They put forward among other things that the squeeze-out was against bad faith because Aesculap had only recently been transferred into an AG.

In accelerated court proceedings which ensued the Stuttgart Court of Appeals has advised the minority shareholders that it considers all their challenges to be without any merit. Upon recommendation of the Court the minority shareholders have then withdrawn their lawsuit (cf. the announcement of Aesculap AG in the Federal Gazette of 22nd April 2010).
